Corporate Contributor License Agreement (“CCLA”)

Thank you for your interest in contributing to the ZeroToSaaS Accessibility Theme Suite and related open source projects managed by Sarvasv Technologies Pvt Ltd (ZeroToSaaS.in) (“ZeroToSaaS”, “we”, or “us”).

In order to clarify the intellectual property license granted with Contributions from any corporation or entity, ZeroToSaaS must have a Corporate Contributor License Agreement (“CCLA”) on file that has been executed by an authorized representative of your organization, indicating agreement to the license terms below.

Please read this document carefully before signing and submit a signed copy via pull request or by emailing it to legal@zerotosaas.in.

1. Definitions

“Corporation” (or “You” / “Your”) shall mean the legal entity that is entering into this Agreement with ZeroToSaaS.
“Contribution” shall mean any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You or Your designated employees to ZeroToSaaS for inclusion in, or documentation of, any of the products or projects owned or managed by ZeroToSaaS.
“Designated Employees” shall mean the employees, contractors, or agents of the Corporation listed in Schedule A (or updated via written notice) authorized to submit Contributions on behalf of the Corporation.

2. Grant of Copyright License

Subject to the terms and conditions of this Agreement, You hereby grant to Sarvasv Technologies Pvt Ltd and to recipients of software distributed by ZeroToSaaS a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Contributions submitted by Your Designated Employees and such derivative works.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, You hereby grant to Sarvasv Technologies Pvt Ltd and to recipients of software distributed by ZeroToSaaS a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work, where such license applies only to those patent claims licensable by You that are necessarily infringed by Contributions submitted by Your Designated Employees alone or by combination with the Work to which such Contribution(s) was submitted.

4. Authority & Representations

You represent and warrant that:

You are legally entitled and have full corporate authority to enter into and execute this Agreement.
Each Designated Employee listed in Schedule A is authorized to submit Contributions on behalf of the Corporation.
The Contributions are original creations of the Corporation or its Designated Employees, and do not violate or infringe upon the proprietary rights of any third party.

5. Disclaimer of Warranties

Except for the licenses and authority representations granted herein, Contributions are provided on an “AS IS” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.
